Riot Platforms entered into a BitGo Custodial Services Agreement with BitGo Bank & Trust, National Association, on October 7, 2026, and amended it on October 14, 2026. Under the agreement, BitGo Bank & Trust will act as custodian of the company's digital assets and cash.

Riot Platforms said the arrangement is part of an account transfer and transition agreement among the company, NYDIG Trust Company LLC, BitGo Bank & Trust and certain of their affiliates. Riot Platforms also said its custodial agreement with NYDIG Trust will end automatically once that transfer is complete.

Under the agreement, BitGo Bank & Trust will hold the company's digital assets in segregated accounts kept solely for the company, and will not commingle them with other clients' assets. Riot Platforms said that, at its direction, digital assets may be held briefly in an omnibus account to settle trades with a BitGo Bank & Trust affiliate. It said they may also be held in an omnibus account if it uses BitGo Bank & Trust's settlement services.

Riot Platforms said it will pay BitGo Bank & Trust a monthly fee based on the average value of the digital assets in custody. The agreement has an initial one-year term that renews automatically for successive one-year terms unless either party gives notice of non-renewal at least 60 days before the end of the current term.

Riot Platforms said it may terminate the agreement early on 14 days' prior written notice, without an early termination fee, as provided by the amendment. The agreement limits BitGo Bank & Trust's liability to the fees paid or payable in the six months before the event giving rise to a claim, subject to certain exceptions, including for fraud, willful misconduct and gross negligence.
